Partnership company with a partner abroad (non national)

My friend has a software company in Europe and would like to partner with me in Canada in order to develop a new market for his software company.
It would be a 50/50 partnership.

What would you recommend in terms of business registration? Regarding the dividend, would it be possible after paying tax to send his shares?
