Wondering if I'm already a Canadian citizen

* father was born in Canada but moved to U.S in his 20's and lived in US
till his death @ 45 yrs. old - never renounced Canadian citizenship
( but never became a U.S citizen only a permanent resident)

* I was born in U.S. in 63' and father registered my birth in Canada but I have
always lived in U.S.

* mother was U.S. citizen (also deceased)

Yes you are probably a Canadian citizen, just apply for proof of citizenship. http://www.cic.gc.ca/english/citizenship/proof.asp

I second PMM. You are probably a citizen and you should apply for a citizenship certificate and see what happens:

If your father registered your birth in Canada, then technically you are good to go. There might be some red tape/ fine prints involved, but you should definitely apply!!
